Start with a problem, not a definition
Suppose your cousin asks you to put 200 million soum into his business. He is a good person. You have known him your whole life. He opens a laptop and shows you a page of numbers that he typed himself. Revenue, costs, profit. The business, the page says, earns 80 million soum a year.
Do you believe it?
Probably you believe that he believes it. That is not the same thing. He might be counting a contract that hasn't been signed. He might be forgetting the money he owes his supplier. He might be including his own salary as profit. He might, if things have gone badly and he is embarrassed, be rounding in a direction that flatters him. None of this requires him to be dishonest. It only requires him to be human, and to be the one holding the pen.
Now notice what happens to you. Because you cannot check the page, you have to assume the worst case you can imagine. You offer him less money, or you demand a bigger share, or you ask for a guarantee on his apartment, or you walk away. Your caution is rational. It is also expensive — for him, and in the end for everyone, because businesses that deserve money don't get it.
This is the problem that auditing exists to solve. Not fraud. Not tax. The problem is that the person who knows the numbers and the person who needs the numbers are two different people, and the second one has no way to check the first.
Everything in this article follows from that one sentence.
The agency problem, explained without the jargon
Economists have a name for this situation, and it is worth learning because once you see it you see it everywhere: the agency problem.
An "agency relationship" exists whenever one person (the principal) hires another person (the agent) to act on their behalf and to make decisions for them. You are the principal when you give your money to a company director to run a business for you. You are the principal when you deposit your salary in a bank and someone else decides who to lend it to. You are the principal when your pension contributions are invested by a fund manager you have never met.
The phrase was given its modern form by Michael Jensen and William Meckling in a 1976 paper in the Journal of Financial Economics, though the underlying observation is older — Adolf Berle and Gardiner Means described the separation of ownership from control in American corporations in 1932, and Adam Smith complained about it in 1776. The structure of the problem is always the same, and it has three parts.
First, the interests differ. The owner wants the business to be worth more. The manager wants a comfortable life, a larger department, a company car, and a bonus this year rather than a better business in five years. These are not evil desires. They are simply different desires, and the manager is the one making the decisions.
Second, the information is unequal. The manager knows what is actually happening in the business. The owner knows what the manager tells them. This asymmetry is not accidental; it is structural. The manager is there every day and the owner is not. That is the entire point of hiring a manager.
Third — and this is the part people miss — the owner knows all of this. The owner is not naïve. The owner knows the manager has different interests and better information. So the owner discounts everything the manager says.
Jensen and Meckling called the total cost of this situation agency costs, and they broke it into three pieces:
- Monitoring costs — what the principal spends watching the agent. Board meetings, reports, inspections, auditors.
- Bonding costs — what the agent spends proving they are trustworthy. This is the surprising one, and we will come back to it.
- Residual loss — the value that is destroyed anyway, because no amount of watching and proving makes the gap disappear completely.
Here is the thing to hold on to: agency costs are real costs. They come out of the value of the business. If you can reduce them, you have created wealth out of nothing but better information. That is what an audit does, and that is why anyone is willing to pay for one.
Where the audit fits
An audit is a monitoring device that the principal and the agent both agree to use, carried out by a third party who works for neither of them.
The auditor's job is not to run the business or to decide whether it is a good business. The auditor's job is narrower and stranger than that: to examine the account of events that management has written, and to state publicly whether that account can be relied upon.
That is all. And it is enough.
Why the manager asks to be audited
Most people assume audit is something done to a company — an imposition, a cost, a regulatory nuisance. Historically, the opposite is closer to the truth.
Return to your cousin. He knows his numbers are honest. He also knows you can't tell the difference between him and a man whose numbers are not honest. So you treat him as an average of the two. He is being punished for other people's dishonesty, and there is nothing he can say that fixes it, because anything he says is also just him talking.
George Akerlof described this mechanism in 1970 in a paper about used cars — "The Market for Lemons," which won him a Nobel Prize. When buyers cannot distinguish good from bad, they pay an average price. Sellers of genuinely good goods refuse to sell at the average price and withdraw. The average quality of what remains falls. Buyers lower their offers again. In the limit, the market collapses, and the people hurt most are the honest sellers.
The only escape is a credible signal — something the honest seller can do that a dishonest one cannot imitate cheaply. A mechanic's inspection, in Akerlof's example. An auditor's report, in ours.
This is what Jensen and Meckling meant by bonding costs: money the agent spends voluntarily, on himself, to buy the principal's trust. And the historical evidence supports it. Ross Watts and Jerold Zimmerman, writing in the Journal of Law and Economics in 1983, showed that English companies hired auditors for centuries before any statute required it. Merchant partnerships, guilds, and early joint-stock ventures appointed people to examine the accounts because investors would not hand over money otherwise. The law, when it eventually arrived, was codifying a practice the market had already invented.
The sequence is worth stating plainly, because it reverses the usual assumption:
Audit was not invented by regulators to control business. It was invented by business to attract capital. Regulation came afterwards, to make it compulsory for the companies most likely to skip it.
So when a growing Uzbek company commissions an audit it does not legally need, it is not being cautious or vain. It is doing exactly what English merchants did in the 1700s: paying money to make its own word worth something.
So what is an audit, precisely?
Now the definition, which will make more sense than it would have four sections ago.
An audit is an independent examination of financial statements, performed to an established professional standard, resulting in a formal opinion as to whether those statements present the entity's financial position and results fairly, in accordance with a stated financial reporting framework.
Five things in that sentence carry all the weight.
"Independent." The auditor must have no interest in the answer. Not a shareholder, not a relative of management, not dependent on this one client for survival, not auditing work they themselves prepared. Independence is not a nice quality that improves an audit. It is the product. An opinion from someone with a stake in the outcome has no information content at all, and would be worth exactly nothing.
"Financial statements." Not the business. Not the strategy. Not whether the director is a decent person. The subject of the audit is a specific set of documents: the statement of financial position, the statement of profit or loss and other comprehensive income, the statement of changes in equity, the statement of cash flows, and the notes. Management prepares them. The auditor examines them. The accounts remain management's accounts throughout — this is a point of law and of principle, and it is widely misunderstood.
"To an established standard." In Uzbekistan, independent audits are conducted under the International Standards on Auditing (ISAs) issued by the IAASB, which apply directly. The standards govern everything: how risk is assessed, how much evidence is enough, how samples are chosen, how the file is documented, how the opinion is worded. Without them, "audit" would mean whatever each auditor wanted it to mean, and the signature would carry no information.
"An opinion." Not a certificate. Not a guarantee. Not a statement of fact. An opinion, by a qualified professional, on a defined question — supported by evidence and backed by that professional's licence, liability and reputation.
"Fairly, in accordance with a stated framework." The question is never "are these numbers true?" in some absolute sense. The question is "do these statements comply with IFRS?" or "do they comply with Uzbek national accounting standards?" The framework must be named, because the same underlying business produces different legitimate numbers under different frameworks.
Reasonable assurance, not certainty
ISA 200 requires the auditor to obtain reasonable assurance — a high but not absolute level of confidence. This is not professional cowardice. It is arithmetic.
A mid-sized company generates hundreds of thousands of transactions a year. Examining every one of them would cost more than the company is worth and take longer than the year being audited. So auditors work with materiality (a threshold below which an error would not change any reasonable reader's decision) and sampling (testing a selection and reasoning about the whole).
A reader who understands this understands why an audit opinion is valuable and why it is not a guarantee. The auditor is not saying "every figure is exactly right." The auditor is saying "I have obtained enough appropriate evidence to conclude that these statements are free from material misstatement — that is, free from error large enough to matter."
What an audit is not
The distance between what auditors do and what the public assumes they do has a name in the academic literature: the expectation gap. The term is usually credited to Carl Liggio in 1974; Brenda Porter's 1993 study broke it into a "reasonableness gap" (the public expects things no auditor could deliver) and a "performance gap" (auditors sometimes fall short of what they reasonably should deliver).
Four misconceptions are worth clearing up directly.
An audit is not primarily a fraud investigation. The auditor must consider fraud risk and must design procedures responsive to it (ISA 240). But an audit is designed to detect material misstatement, from whatever cause. Well-concealed fraud — especially fraud involving collusion between several people, or override of controls by senior management — can survive a properly conducted audit. This is an acknowledged limitation of the method, not a secret.
An audit does not value the business. A balance sheet is not a price tag. Most assets sit at historical cost less depreciation, not at what anyone would pay for them. A company with 10 billion soum of net assets might be worth 40 billion or might be worth nothing.
An audit does not confirm the business will survive. The auditor assesses whether the going concern assumption is appropriate, generally over at least twelve months from the reporting date (ISA 570). Companies have failed within a year of a clean opinion without the auditor having done anything wrong. The audit reports on a period that has already ended; the future is not the subject.
An audit does not mean the business is well run. A badly managed, unprofitable, poorly governed company can receive a perfectly clean opinion — provided its financial statements accurately report that it is badly managed, unprofitable and poorly governed. The opinion addresses the honesty of the account, not the quality of what is being accounted for.
The word "audit" means two different things in Uzbekistan
This is the section most likely to save a reader real trouble, and it is specific to our jurisdiction.
In Uzbekistan, "audit" is a legal term in two unrelated bodies of law, with two different meanings.
Article 137 of the Tax Code sets out the types of tax inspection, and one of them is called, in the official terminology, налоговый аудит — "tax audit." It is a form of state inspection: a comprehensive examination of whether taxes have been calculated and paid correctly over a given period, conducted by the tax authority, generally on taxpayers selected through risk analysis. Alongside it sit the desk inspection (камеральная проверка) and the field inspection (выездная проверка). Transfer pricing has its own regime of tax control, set out separately in Section VI of the Code (from Article 176).
That is one meaning.
Separately, the Law "On Auditing Activity" (ЗРУ-677 of 25 February 2021, in force from 27 May 2021) governs audit as a licensed professional service: an independent examination of financial statements by a registered audit organisation, resulting in an audit report.
These two things share a word and share almost nothing else. Confusing them is common, and it leads to real errors — companies who think a clean tax inspection means their accounts are audited, and companies who think an audit report protects them from the tax authority. Neither is true.
| Tax inspection (including налоговый аудит) | Independent audit | |
|---|---|---|
| Who initiates it | The state, on its own authority | The company (or its owners), as required by law or by choice |
| Who pays | The state | The company |
| Whose interests does the examiner serve | The budget | The users of the financial statements — owners, lenders, the public |
| Can you choose the examiner | No | Yes, from the register of licensed audit organisations |
| Governing rules | Tax Code and subordinate regulations | Law on Auditing Activity; International Standards on Auditing (ISAs) |
| Central question | Was the correct amount of tax calculated and paid? | Do the financial statements present fairly, in accordance with the stated framework? |
| Scope | Tax obligations for the periods under inspection | The financial statements as a whole |
| Output | An inspection act; where violations are found, an act of tax offences | An audit report containing a formal opinion |
| Direct consequence | Assessments, penalties, interest; appeal rights | None in itself — the report is information for third parties |
| Who relies on it | The tax authority | Banks, investors, shareholders, counterparties, regulators, the public |
The practical summary: a tax inspection asks whether you paid the state enough. An audit asks whether what you told everyone else was true. A company can pass one and fail the other, in either direction.
The wider family of engagements
While we are drawing distinctions, several other things are routinely called "audits" and are not:
- Internal audit is performed by employees of the company (or an outsourced function) and reports to the board or the audit committee. Its purpose is to improve internal control and risk management. It is not independent of the company and produces no public opinion.
- Due diligence is an investigation commissioned by a buyer, investor or lender, scoped to their specific concerns. It has no standard form and expresses no opinion on the financial statements as a whole.
- A review engagement (ISRE 2400) is a lower level of assurance — the practitioner states that nothing came to their attention suggesting the statements are materially misstated. Less work, weaker conclusion, lower fee. Useful, but not an audit.
- Agreed-upon procedures (ISRS 4400) means the practitioner performs exactly the steps the client specified and reports the findings. No opinion, no assurance. The client draws their own conclusions.
If someone offers you a cheap "audit," establish which of these you are actually buying.
When is an audit required, and when is it a choice?
Mandatory audit
Article 35 of the Law on Auditing Activity sets out the categories of entity whose annual financial statements are subject to mandatory audit. The list is built around three ideas, and if you understand the ideas you can usually predict the list:
- Entities holding other people's money. Banks, insurers, investment funds, exchanges. Depositors and policyholders have no practical way to monitor these institutions themselves, and the consequences of failure fall on thousands of people who had no part in the decisions.
- Entities with dispersed or public ownership. Joint-stock companies, issuers of securities. The classic agency problem in its purest form: many owners, none of whom can walk into the office and look at the ledger.
- Entities large enough that their failure affects others. Companies above specified size thresholds, entities with state participation. Their suppliers, employees, lenders and tax authorities carry a risk they did not choose.
In full, Article 35 makes the annual audit mandatory for:
- All joint-stock companies
- Banks and other credit institutions
- Insurance organisations
- Exchanges
- Investment and other funds that pool money from legal entities and individuals
- Agricultural cooperatives
- State unitary enterprises, and legal entities with a state share in their charter capital at the levels set by law
- Funds formed from contributions paid by legal entities and individuals
Any other commercial organisation must also be audited if, for the year, it meets any two of these three criteria:
- Total assets on the balance sheet above 100,000 BRV (base calculation values)
- Revenue from sales of goods, works and services above 200,000 BRV
- Average headcount above 100 employees
At the base calculation value in effect from 1 September 2026 (440,000 soum), that means assets above 44 billion soum and revenue above 88 billion soum. The BRV is revised regularly, so check the current value before relying on these figures.
Entities subject to mandatory audit must file a copy of the audit report with the tax authorities within 15 days of the audit being completed, and in any event no later than 15 June of the year following the reporting year.
IFRS and the expanding perimeter
Two instruments have steadily widened the population of Uzbek entities reporting under IFRS, and therefore the population needing an audit against IFRS rather than national standards.
Presidential Resolution PQ-4611 (ПП-4611) of 24 February 2020 required joint-stock companies, commercial banks, insurance organisations and large taxpayers to organise their accounting under IFRS from 1 January 2021 and to prepare IFRS financial statements from the end of 2021. Entities that adopt IFRS voluntarily are exempted from filing statements under national accounting standards.
Presidential Resolution PQ-282 of 15 September 2025 introduced the legal status of Public Interest Entity (PIE) and a public register maintained by the Ministry of Economy and Finance. The first register, published in 2026, contained 425 organisations: listed companies, banks and other financial institutions, investment funds and exchanges, large state-participation enterprises, and large private companies meeting asset, revenue and headcount criteria. Entities on the register must maintain accounting under IFRS from 1 January 2027 and publish IFRS financial statements accompanied by an independent audit report by the end of financial year 2028. The register is updated annually.
The direction of travel is not ambiguous. The threshold for "you must be audited to international standards" has been falling for six years and continues to fall.
Voluntary audit
Everyone else may choose. In practice, companies choose an audit for one of four reasons, and it is worth being clear about which one applies before commissioning one:
To raise money. A bank's credit committee, an equity investor, or a development finance institution will discount unaudited figures heavily or refuse to consider them. The audit is not a formality here; it changes the price of capital.
To sell, or to bring in a partner. Audited statements for the preceding two or three years shorten due diligence, narrow the range of warranties a buyer demands, and remove the buyer's most effective negotiating argument — that your numbers are unverified.
To solve a problem between owners. Where some shareholders manage the business and others do not, an independent audit converts an argument about trust into a question of fact. This is the agency problem at the kitchen-table level, and the audit is the cheapest available answer.
To find out. Some founders simply want to know whether what their accountant tells them is correct — before a bank, a buyer or the tax authority tells them it isn't.
Who actually reads the report
An audit report has no value in itself. It has value because specific people change specific decisions after reading it.
Shareholders who do not manage. The original audience, and still the conceptual core. The audit is how an owner who is not in the building forms a justified belief about what happened to their money.
Banks and lenders. A credit committee uses audited statements to size a facility, set an interest rate, and define covenants. Audited figures also matter after the loan: under IFRS 9, banks estimate expected credit losses on their loan book, and the quality of the borrower's financial information feeds directly into that estimate. A borrower with unaudited accounts is, from the bank's perspective, a more expensive asset to hold. That cost is passed back in the form of a higher rate, more security, or no loan.
Investors and acquirers. In a transaction, the gap between audited and unaudited statements is paid for by the seller — through a lower price, a larger escrow, or wider warranties and indemnities.
The tax authority. Not as a substitute for its own inspection powers, but as a risk signal. Financial statements accompanied by a clean independent opinion and consistent with the tax returns filed look different, in a risk-analysis system, from statements that are neither.
Counterparties. A supplier deciding whether to extend 90-day credit, or a customer deciding whether to pay a large deposit in advance, is making a credit decision with no better information than a lender has.
Employees, and the public. For a large employer, the financial statements are the only public account of whether the entity can meet its obligations. For a bank or an insurer, the "public" includes everyone with a deposit or a policy.
Notice the common feature: in every case the reader is someone who cannot look at the books themselves. The audit exists to serve people who are absent. If everyone who needed the information could simply walk in and check, there would be no audit profession.
Why audit is such an enormous institution in the United States
Readers often sense that audit matters more in America than it does here, and they are right. The reason is structural, and understanding it tells you where Uzbekistan is heading.
In the United States, ordinary households own companies. Not directly, for the most part, but through pension funds, 401(k) retirement plans, mutual funds and index funds. A schoolteacher in Ohio is a part-owner of several thousand businesses she will never visit, run by people she will never meet, in industries she knows nothing about.
That is the agency problem at national scale. The only thing standing between that teacher and a complete inability to know anything is a chain of reported financial information — and an auditor's signature at the end of it.
The institutional history is a sequence of disasters followed by legislation.
1929 and after. The stock market crash and the Depression exposed how little reliable information investors had been given. Congress responded with the Securities Act of 1933 and the Securities Exchange Act of 1934, which created the Securities and Exchange Commission and required companies selling securities to the public to file financial statements audited by an independent accountant. The modern audit profession in America is substantially a creation of those two statutes.
2001–2002. Enron, a company that had been among the largest in the United States, collapsed after it emerged that its reported profits depended on structures designed to keep debt off its balance sheet. Its auditor, Arthur Andersen — one of the five largest firms in the world, with tens of thousands of employees — was destroyed along with it. WorldCom followed. The damage was not only to the shareholders of those companies; it was to the credibility of every audited financial statement in the market.
The legislative response was the Sarbanes-Oxley Act of 2002, which remains the most significant intervention in the profession's history. It created the PCAOB to inspect audit firms rather than leaving the profession to police itself. It required chief executives and chief financial officers to personally certify the financial statements. Its famous Section 404 required management to assess, and the auditor to report on, the effectiveness of internal control over financial reporting. It banned audit firms from providing many consulting services to the companies they audit — recognising that an auditor earning large fees from a client for other work is not independent of that client in any meaningful sense.
The lesson Americans drew, at enormous cost, is the one worth importing:
The value of an audit lies entirely in the independence of the auditor. The moment the auditor has an interest in the answer, the signature stops carrying information — and because nobody can tell from the outside which signatures still carry information, confidence in all of them falls at once.
Why this is becoming relevant here. Uzbekistan's capital market is young but no longer theoretical. Shares trade on the Tashkent exchange. State enterprises are being privatised. Corporate bonds are being issued. International lenders and development finance institutions operate here at scale. Foreign direct investment keeps arriving. Each of these creates a new group of people who hold a financial interest in a business they cannot inspect — which is to say, each creates new demand for credible financial information.
The PIE register, mandatory IFRS, published statements with audit reports attached: these are the institutional architecture that becomes necessary once ownership and control separate at scale. The United States built it between 1933 and 2002, mostly in response to catastrophes. Uzbekistan is building it now, with the advantage of knowing how the story goes.
Reading an audit report
If you are ever handed one, here is how to read it.
Begin at the end of the first section, where the opinion is stated. There are four possibilities, and they are not shades of the same colour — they are categorically different statements.
Unmodified ("clean") opinion. The statements present fairly, in all material respects, in accordance with the stated framework. This is the normal outcome and the one every company wants.
Qualified opinion. "Except for" a specified matter, the statements present fairly. Something is wrong, or something could not be verified, and it is material — but it is contained, and the rest of the statements can be relied upon. Read the basis paragraph carefully; it tells you exactly what the problem is.
Adverse opinion. The statements do not present fairly. The problems are material and pervasive. This is a serious statement and it is rare.
Disclaimer of opinion. The auditor was unable to obtain sufficient evidence to form any opinion at all, and the possible effects are material and pervasive. In practice this usually means records were missing or access was obstructed. For most readers, a disclaimer should be treated as worse news than a qualification, because it means nobody knows.
Then read what surrounds the opinion.
An Emphasis of Matter paragraph draws attention to something properly disclosed in the statements that the auditor considers fundamental to understanding them. It does not modify the opinion — but it is there because the auditor wanted to be sure you did not miss it.
A material uncertainty related to going concern means the auditor has concluded that events or conditions exist that may cast significant doubt on the entity's ability to continue operating. If you read nothing else, read this.
Key Audit Matters (ISA 701, reported for listed entities and where otherwise required) set out the matters that required the most auditor attention. They are the closest thing to a map of where the judgement and the risk actually sat.
And the single most important interpretive point:
A clean opinion is a statement about the financial statements, not about the business. It means the account is faithful. It does not mean the account is good news.
The limits, stated honestly
A profession that oversells itself invites the expectation gap it then complains about. So, plainly:
Sampling means some transactions are never examined. This is inherent and unavoidable. The response is risk-based selection, not exhaustive testing.
Materiality means small errors are tolerated. A misstatement below the materiality threshold may be known to the auditor and left uncorrected, because it would not change any reasonable reader's decision.
Collusion defeats controls. Audit procedures rely substantially on internal controls and on documentary evidence. Where several people cooperate to produce false documents, detection becomes considerably harder.
Management override is the hardest risk in the profession. Senior management can, by definition, instruct people to depart from normal procedure. ISA 240 treats this as a presumed risk in every audit for exactly that reason.
Accounting requires judgement, and judgement has range. Whether a receivable is recoverable, whether an asset is impaired, how long equipment will last — these are estimates. The auditor assesses whether management's estimate is reasonable and properly disclosed, not whether it is the single correct number, because there isn't one.
And the structural threat: the audited company pays the auditor. This is an acknowledged weakness in the design of the institution worldwide, and it is why independence requirements, rotation rules, prohibitions on certain non-audit services, licensing and external quality inspection exist. They are not bureaucracy. They are the mechanism that keeps the signature meaningful, and every major audit failure in history has involved their erosion.
Do you need one?
A short decision guide.
You are legally required to have one if your entity falls within Article 35 of the Law on Auditing Activity, or within the IFRS and PIE regimes described above. Check this first; the answer is not a matter of preference.
You should strongly consider one if any of the following is true:
- You intend to raise bank financing or equity investment within the next 12–24 months
- You have shareholders who are not involved in management
- You are preparing to sell the business or admit a new partner
- You are a subsidiary, joint venture or major supplier of an entity that is itself subject to mandatory IFRS audit — their obligations will reach you
- Your business is approaching the size thresholds in the legislation
- You do not currently have independent confirmation that your accounts are correct, and the consequences of them being wrong are large
You probably do not need one yet if you are small, owner-managed, not borrowing, not raising capital, and not approaching any statutory threshold. What you need at that stage is accurate bookkeeping and correct tax filings. An audit of unreliable records is an expensive way to be told your records are unreliable — fix the records first.

The one-paragraph version
A business is run by people who know what is happening inside it, and it is financed, supplied, banked, taxed and in some cases owned by people who do not. That gap is not a failure of anyone's character; it is the structure of modern commerce. Left alone, it makes capital expensive, deals slow, and trust impossible to establish. An audit closes the gap by inserting someone who works for neither side, applies a defined professional standard, and signs their name to a conclusion they can be held to. The signature is not a formality and it is not a guarantee. It is the mechanism by which a company's own account of itself becomes something a stranger can rely on.

Journal of Law and Economics
- Due diligence —

Tasavvur qiling, amakivachchangiz biznesiga 200 million so'm kiritishingizni so'rayapti. U yaxshi odam. Siz uni butun umr taniysiz. U noutbukni ochib, o'zi terib chiqqan raqamlar sahifasini ko'rsatadi. Tushum, xarajatlar, foyda. Sahifaga ko'ra, biznes yiliga 80 million so'm ishlab topadi.
Unga ishonasizmi?
Ehtimol, siz uning o'zi bunga ishonishiga ishonasiz. Lekin bu bir xil narsa emas. U hali imzolanmagan shartnomani hisobga olayotgan bo'lishi mumkin. Yetkazib beruvchiga qarzini unutgan bo'lishi mumkin. O'z maoshini foyda deb hisoblayotgan bo'lishi mumkin. Agar ishlar yomon ketgan bo'lsa va u bundan uyalsa, raqamlarni o'ziga qulay tomonga yaxlitlayotgan bo'lishi mumkin. Buning uchun insofsiz bo'lish shart emas. Inson bo'lish va qalam o'z qo'lida bo'lishi kifoya.
Endi o'zingizga nima bo'layotganiga e'tibor bering. Siz sahifani tekshira olmaganingiz uchun, tasavvur qila oladigan eng yomon holatdan kelib chiqishga majbursiz. Kamroq pul taklif qilasiz, kattaroq ulush talab qilasiz, uning kvartirasini garovga so'raysiz yoki umuman voz kechasiz. Ehtiyotkorligingiz oqilona. Lekin u qimmatga tushadi — unga ham, oxir-oqibat hammaga ham, chunki pulga loyiq biznes uni olmaydi.
Audit aynan shu muammoni hal qilish uchun mavjud. Firibgarlikni emas. Soliqni emas. Muammo shundaki, raqamlarni biladigan odam va bu raqamlar kerak bo'lgan odam — turli odamlar, va ikkinchisida birinchisini tekshirish imkoni yo'q.
Ushbu maqoladagi hamma narsa shu bitta gapdan kelib chiqadi.
Agentlik muammosi — jargonsiz
"Agentlik munosabatlari" bir kishi (printsipal) boshqa kishini (agent) o'z nomidan harakat qilish va qaror qabul qilish uchun yollaganida yuzaga keladi. Biznesni siz uchun yuritsin deb pulingizni kompaniya direktoriga ishonib topshirganingizda — siz printsipalsiz. Maoshingizni bankka qo'yib, uni kimga qarzga berishni boshqa birov hal qilganida — siz printsipalsiz. Pensiya badallaringizni hech qachon ko'rmagan fond boshqaruvchisi investitsiya qilganida — siz printsipalsiz.
Bu tushunchaga zamonaviy shaklni Maykl Jensen va Uilyam Mekling 1976-yilda Journal of Financial Economics jurnalidagi maqolasida bergan, garchi kuzatuvning o'zi undan qadimiyroq bo'lsa-da: Adolf Berli va Gardiner Minz 1932-yilda Amerika korporatsiyalarida mulkchilik va nazoratning ajralishini tasvirlagan, Adam Smit esa bundan 1776-yildayoq noligan. Muammoning tuzilishi doim bir xil va u uch qismdan iborat.
Birinchidan, manfaatlar turlicha. Mulkdor biznes qimmatroq bo'lishini xohlaydi. Boshqaruvchi esa tinch hayot, kattaroq bo'lim, xizmat mashinasi va besh yildan keyin yaxshiroq biznes emas, balki shu yil bonus olishni xohlaydi. Bular yomon istaklar emas. Ular shunchaki boshqacha istaklar — qarorlarni esa boshqaruvchi qabul qiladi.
Ikkinchidan, ma'lumot teng emas. Boshqaruvchi biznesda aslida nima bo'layotganini biladi. Mulkdor esa boshqaruvchi aytgan narsani biladi. Bu nomutanosiblik tasodifiy emas, u tuzilmaning o'zida mavjud. Boshqaruvchi har kuni joyida bo'ladi, mulkdor esa yo'q. Boshqaruvchi aynan shuning uchun yollanadi.
Uchinchidan — va odamlar aynan shu qismni e'tibordan chetda qoldiradi — mulkdor bularning barchasini biladi. U sodda emas. U boshqaruvchining manfaatlari boshqacha va ma'lumoti yaxshiroq ekanini tushunadi. Shuning uchun boshqaruvchi aytgan har bir gapga tuzatish kiritadi.
Jensen va Mekling bu holatning umumiy narxini agentlik xarajatlari deb atab, uni uch qismga ajratgan:
- Monitoring xarajatlari — printsipalning agentni kuzatishga sarflagani. Kengash yig'ilishlari, hisobotlar, tekshiruvlar, auditorlar.
- Majburiyat xarajatlari — agentning o'z ishonchliligini isbotlashga sarflagani. Bu eng kutilmagan qism, biz unga qaytamiz.
- Qoldiq yo'qotishlar — baribir yo'qoladigan qiymat, chunki hech qanday kuzatuv va isbot bu bo'shliqni to'liq yopa olmaydi.
Esda tutish kerak bo'lgan narsa: agentlik xarajatlari — haqiqiy xarajatlar. Ular biznes qiymatidan chiqib ketadi. Agar ularni kamaytira olsangiz, faqat yaxshiroq ma'lumot orqali qiymat yaratgan bo'lasiz. Audit aynan shuni qiladi va aynan shuning uchun undan foydalanish uchun pul to'lashga tayyor bo'lishadi.
Auditning o'rni
Audit — printsipal ham, agent ham birgalikda foydalanishga rozi bo'lgan nazorat vositasi bo'lib, uni ularning hech biri uchun ishlamaydigan uchinchi tomon amalga oshiradi.
Auditorning vazifasi biznesni boshqarish yoki uning yaxshi biznes ekanini hal qilish emas. Uning vazifasi torroq va g'aroyibroq: rahbariyat yozgan voqealar bayonini o'rganib chiqish va bu bayonga tayanish mumkinmi yoki yo'qligini ochiq aytish.
Hammasi shu. Va bu yetarli.
Nega rahbarning o'zi audit o'tkazishni so'raydi
Ko'pchilik audit — bu kompaniyaga nisbatan qilinadigan narsa: yuk, xarajat, tartibga solish talabi deb hisoblaydi. Tarixan haqiqatga buning teskarisi yaqinroq.
Amakivachchangizga qaytaylik. U raqamlari halol ekanini biladi. Lekin u siz uni raqamlari halol bo'lmagan odamdan ajrata olmasligingizni ham biladi. Shuning uchun siz unga ikkalasining o'rtachasi sifatida qaraysiz. U boshqalarning insofsizligi uchun jazolanadi va buni tuzatish uchun hech narsa deya olmaydi, chunki u nima desa ham, bu yana uning o'z gapi.
Jorj Akerlof bu mexanizmni 1970-yilda ishlatilgan avtomobillar haqidagi "Limonlar bozori" maqolasida tasvirlagan va bu maqola unga Nobel mukofotini keltirgan. Xaridorlar yaxshini yomondan ajrata olmasa, o'rtacha narx to'laydi. Haqiqatan yaxshi tovar sotuvchilari o'rtacha narxda sotishdan bosh tortib, bozordan chiqib ketadi. Qolgan tovarlarning o'rtacha sifati pasayadi. Xaridorlar takliflarini yana tushiradi. Oxir-oqibat bozor qulaydi va eng ko'p zarar ko'radiganlar — halol sotuvchilar.
Yagona chiqish yo'li — ishonchli signal: halol sotuvchi qila oladigan, insofsiz sotuvchi esa arzonga takrorlay olmaydigan narsa. Akerlof misolida — mexanik ko'rigi. Bizning misolimizda — auditorlik xulosasi.
Jensen va Mekling majburiyat xarajatlari deganda aynan shuni nazarda tutgan: agent printsipalning ishonchini sotib olish uchun o'z ixtiyori bilan sarflaydigan pul. Tarix ham buni tasdiqlaydi. Ross Uotts va Jerold Zimmerman 1983-yilda Journal of Law and Economics jurnalida ingliz kompaniyalari hech qanday qonun talab qilishidan asrlar oldin auditor yollaganini ko'rsatib bergan. Savdo shirkatlari, gildiyalar va ilk aksiyadorlik korxonalari hisoblarni tekshirish uchun odam tayinlagan, chunki aks holda investorlar pul bermasdi. Qonun nihoyat paydo bo'lganida, bozor allaqachon o'ylab topgan amaliyotni mustahkamlab qo'ydi.
Bu ketma-ketlikni ochiq aytish kerak, chunki u odatiy tasavvurni teskari aylantiradi:
Auditni biznesni nazorat qilish uchun regulyatorlar o'ylab topmagan. Uni kapital jalb qilish uchun biznesning o'zi o'ylab topgan. Tartibga solish keyinroq paydo bo'ldi — undan qochishga eng moyil kompaniyalar uchun uni majburiy qilish maqsadida.
Shuning uchun o'sib borayotgan o'zbek kompaniyasi qonun bo'yicha shart bo'lmagan auditga buyurtma bersa, u ortiqcha ehtiyotkorlik yoki shuhratparastlik qilayotgani yo'q. U XVIII asrdagi ingliz savdogarlari qilgan ishni qilyapti: o'z so'zi biror narsaga arzishi uchun pul to'layapti.
Xo'sh, audit aniq qilib aytganda nima?
Endi ta'rif — u to'rt bo'lim oldingisidan ko'ra tushunarliroq bo'ladi.
Audit — bu belgilangan professional standart bo'yicha o'tkaziladigan va moliyaviy hisobot tashkilotning moliyaviy holati va faoliyat natijalarini ko'rsatilgan hisobot konsepsiyasiga muvofiq haqqoniy aks ettiradimi, degan savolga rasmiy fikr bilan yakunlanadigan moliyaviy hisobotning mustaqil tekshiruvidir.
Bu gapdagi besh element butun yukni ko'taradi.
"Mustaqil". Auditor natijadan hech qanday manfaatdor bo'lmasligi kerak. Aksiyador emas, rahbariyatning qarindoshi emas, yolg'iz shu mijozga qaram emas, o'zi tayyorlagan ishni tekshirmaydi. Mustaqillik auditni yaxshilaydigan yoqimli fazilat emas. U mahsulotning o'zi. Natijadan manfaatdor odamning fikri hech qanday ma'lumot bermaydi va mutlaqo hech narsaga arzimaydi.
"Moliyaviy hisobot". Biznes emas. Strategiya emas. Direktor odobli odammi yoki yo'qmi — bu ham emas. Audit predmeti — aniq hujjatlar to'plami: moliyaviy holat to'g'risidagi hisobot, foyda yoki zarar va boshqa umumlashgan daromad to'g'risidagi hisobot, kapitaldagi o'zgarishlar to'g'risidagi hisobot, pul oqimlari to'g'risidagi hisobot va izohlar. Ularni rahbariyat tayyorlaydi. Auditor tekshiradi. Hisobot butun jarayon davomida rahbariyatning hisoboti bo'lib qoladi — bu ham qonun, ham tamoyil masalasi va ko'pincha noto'g'ri tushuniladi.
"Belgilangan standart bo'yicha". O'zbekistonda mustaqil audit IAASB tomonidan chiqariladigan Xalqaro audit standartlari (XAS) bo'yicha o'tkaziladi va ular bevosita qo'llaniladi. Standartlar hamma narsani tartibga soladi: xatarlar qanday baholanadi, qancha dalil yetarli, tanlov qanday tuziladi, ish hujjatlari qanday rasmiylashtiriladi, fikr qanday ifodalanadi. Ularsiz "audit" so'zi har bir auditor xohlagan ma'noni anglatardi va imzo hech qanday ma'lumot bermasdi.
"Fikr". Sertifikat emas. Kafolat emas. Fakt bayonoti emas. Malakali mutaxassisning aniq savol bo'yicha fikri — dalillar, shuningdek shu mutaxassisning litsenziyasi, javobgarligi va obro'si bilan mustahkamlangan.
"Ko'rsatilgan konsepsiyaga muvofiq haqqoniy". Savol hech qachon "bu raqamlar mutlaq ma'noda to'g'rimi?" degan shaklda bo'lmaydi. Savol shunday: "hisobot MSFOga mos keladimi?" yoki "u O'zbekiston milliy buxgalteriya hisobi standartlariga mos keladimi?" Konsepsiya nomlanishi shart, chunki bir xil biznes turli konsepsiyalar bo'yicha turli qonuniy raqamlarni beradi.
Mutlaq emas, oqilona ishonch
XAS 200 auditordan oqilona ishonch — yuqori, lekin mutlaq bo'lmagan ishonch darajasini olishni talab qiladi. Bu kasbiy qo'rqoqlik emas. Bu arifmetika.
O'rta kompaniya yiliga yuz minglab operatsiyalarni amalga oshiradi. Har birini tekshirish kompaniyaning o'zidan qimmatroq turardi va tekshirilayotgan yildan ko'proq vaqt olardi. Shuning uchun auditorlar muhimlik (undan past xato hech bir oqilona foydalanuvchining qarorini o'zgartirmaydigan chegara) va tanlov (operatsiyalarning bir qismini tekshirib, butun haqida xulosa chiqarish) bilan ishlaydi.
Buni tushungan o'quvchi auditorlik fikri nega qimmatli ekanini va nega u kafolat emasligini tushunadi. Auditor "har bir raqam mutlaqo aniq" demaydi. U shunday deydi: "Men hisobotda muhim buzilishlar — ya'ni ahamiyatga ega bo'ladigan darajada katta xatolar — yo'q degan xulosaga kelish uchun yetarli va tegishli dalillarni oldim".
Audit nima emas
Auditorlar qiladigan ish bilan jamoatchilik ular qiladi deb o'ylaydigan ish o'rtasidagi masofa ilmiy adabiyotda kutishlar bo'shlig'i deb ataladi. Atama odatda Karl Lijioga (1974) nisbat beriladi; Brenda Porterning 1993-yilgi tadqiqoti uni "oqilonalik bo'shlig'i" (jamoatchilik hech bir auditor bera olmaydigan narsani kutadi) va "ijro bo'shlig'i" (auditorlar ba'zan oqilona qilishlari kerak bo'lgan ishni to'liq bajarmaydi) ga ajratgan.
To'rtta noto'g'ri tasavvurni to'g'ridan-to'g'ri bartaraf etishga arziydi.
Audit birinchi navbatda firibgarlikni tergov qilish emas. Auditor firibgarlik xavfini hisobga olishi va unga javob beradigan protseduralarni rejalashtirishi shart (XAS 240). Lekin audit qaysi sababdan kelib chiqmasin, muhim buzilishlarni aniqlash uchun mo'ljallangan. Yaxshi yashirilgan firibgarlik — ayniqsa bir necha kishining til biriktirishi yoki yuqori rahbariyatning nazoratni chetlab o'tishi bilan bog'liq bo'lsa — to'g'ri o'tkazilgan auditdan ham omon qolishi mumkin. Bu usulning tan olingan cheklovi, sir emas.
Audit biznesni baholamaydi. Balans — narx yorlig'i emas. Aktivlarning ko'pchiligi kimdir ular uchun to'laydigan narxda emas, balki amortizatsiya chegirilgan boshlang'ich qiymatda aks ettiriladi. Sof aktivlari 10 milliard so'm bo'lgan kompaniya 40 milliard turishi ham, hech narsaga arzimasligi ham mumkin.
Audit biznes omon qolishini tasdiqlamaydi. Auditor faoliyatning uzluksizligi taxmini o'rinli ekanini, odatda hisobot sanasidan kamida o'n ikki oylik davr uchun baholaydi (XAS 570). Kompaniyalar toza xulosadan keyin bir yil ichida bankrot bo'lgan, auditor esa hech qanday xato qilmagan. Audit allaqachon tugagan davr haqida hisobot beradi; kelajak uning predmeti emas.
Audit biznes yaxshi boshqarilayotganini anglatmaydi. Yomon boshqariladigan, zarar ko'rayotgan, korporativ boshqaruvi zaif kompaniya ham mutlaqo toza xulosa olishi mumkin — agar uning hisoboti uning yomon boshqarilayotgani, zarar ko'rayotgani va zaif tashkil etilganini aniq aks ettirsa. Fikr hisobning halolligi haqida, hisob qilinayotgan narsaning sifati haqida emas.
O'zbekistonda "audit" so'zi ikki xil narsani anglatadi
Bu bo'lim o'quvchini haqiqiy muammolardan qutqarishi ehtimoli eng yuqori bo'lgan bo'lim va u aynan bizning yurisdiksiyamizga tegishli.
O'zbekistonda "audit" — bir-biriga bog'liq bo'lmagan ikki qonunchilik sohasidagi yuridik atama bo'lib, ikki xil ma'noga ega.
Soliq kodeksining 137-moddasi soliq tekshiruvlarining turlarini belgilaydi va ulardan biri rasmiy atamada soliq auditi deb ataladi. Bu davlat nazoratining bir shakli: soliq organi tomonidan, odatda xatarlarni tahlil qilish natijasida tanlangan soliq to'lovchilarga nisbatan o'tkaziladigan, ma'lum davr uchun soliqlar to'g'ri hisoblangan va to'langanini har tomonlama tekshirish. U bilan bir qatorda kameral soliq tekshiruvi va sayyor soliq tekshiruvi mavjud. Transfert narxlarni shakllantirish uchun soliq nazoratining alohida tartibi nazarda tutilgan — u Kodeksning VI bo'limida (176-moddadan boshlab) belgilangan.
Bu birinchi ma'no.
Alohida tarzda, "Auditorlik faoliyati to'g'risida"gi Qonun (2021-yil 25-fevraldagi O'RQ-677, 2021-yil 27-maydan kuchga kirgan) auditni litsenziyalanadigan professional xizmat sifatida tartibga soladi: ro'yxatdan o'tgan auditorlik tashkiloti tomonidan moliyaviy hisobotni mustaqil tekshirish, uning natijasida auditorlik xulosasi beriladi.
Bu ikki narsaning umumiy so'zi bor — va boshqa deyarli hech narsasi yo'q. Ularni tez-tez chalkashtirishadi va bu haqiqiy xatolarga olib keladi: kompaniyalar muvaffaqiyatli soliq tekshiruvi hisobotlari auditdan o'tganini anglatadi deb yoki auditorlik xulosasi ularni soliq organidan himoya qiladi deb o'ylaydi. Ikkalasi ham to'g'ri emas.
| Soliq tekshiruvi (shu jumladan soliq auditi) | Mustaqil audit | |
|---|---|---|
| Kim boshlaydi | Davlat, o'z vakolati bilan | Kompaniya (yoki uning mulkdorlari) — qonun talabi bilan yoki ixtiyoriy ravishda |
| Kim to'laydi | Davlat | Kompaniya |
| Tekshiruvchi kimning manfaatiga xizmat qiladi | Byudjetning | Moliyaviy hisobot foydalanuvchilarining — mulkdorlar, kreditorlar, jamoatchilik |
| Tekshiruvchini tanlash mumkinmi | Yo'q | Ha, litsenziyalangan auditorlik tashkilotlari reestridan |
| Tartibga soluvchi normalar | Soliq kodeksi va qonunosti hujjatlari | "Auditorlik faoliyati to'g'risida"gi Qonun; Xalqaro audit standartlari (XAS) |
| Asosiy savol | Soliq to'g'ri hisoblangan va to'langanmi? | Hisobot ko'rsatilgan konsepsiyaga muvofiq haqqoniymi? |
| Qamrovi | Tekshirilayotgan davrlar bo'yicha soliq majburiyatlari | Moliyaviy hisobot bir butun sifatida |
| Natija | Tekshiruv dalolatnomasi; qoidabuzarliklar aniqlansa — soliq huquqbuzarliklari to'g'risidagi dalolatnoma | Rasmiy fikr bayon etilgan auditorlik xulosasi |
| Bevosita oqibatlar | Qo'shimcha hisoblashlar, jarimalar, penyalar; shikoyat qilish huquqi | O'z-o'zidan hech qanday — xulosa uchinchi shaxslar uchun ma'lumot |
| Kim tayanadi | Soliq organi | Banklar, investorlar, aksiyadorlar, kontragentlar, regulyatorlar, jamoatchilik |
Amaliy xulosa: soliq tekshiruvi davlatga yetarlicha to'laganingizni so'raydi. Audit esa qolgan hammaga haqiqatni aytganingizni so'raydi. Kompaniya biridan o'tib, ikkinchisidan o'tmasligi mumkin — har ikki yo'nalishda ham.
"Audit" deb ataladigan boshqa ishlar
Farqlarni ajratayotganimizda: yana bir nechta narsa ko'pincha "audit" deb ataladi, lekin ular audit emas.
- Ichki auditni kompaniya xodimlari (yoki autsorsing bo'yicha tashqi pudratchi) bajaradi va u kengashga yoki audit qo'mitasiga hisobot beradi. Uning maqsadi — ichki nazorat va xatarlarni boshqarishni yaxshilash. U kompaniyadan mustaqil emas va ommaviy fikr bermaydi.
- Due diligence — xaridor, investor yoki kreditor o'z aniq savollari bo'yicha buyurtma qiladigan tekshiruv. Uning standart shakli yo'q va u hisobot haqida bir butun sifatida fikr bildirmaydi.
- Sharhlovchi tekshiruv (ISRE 2400) pastroq ishonch darajasini beradi: mutaxassis hisobotda muhim buzilish borligini ko'rsatadigan hech narsa e'tiboriga tushmaganini aytadi. Kamroq ish, kuchsizroq xulosa, pastroq narx. Foydali, lekin bu audit emas.
- Kelishilgan protseduralar (ISRS 4400) mutaxassis aynan mijoz ko'rsatgan qadamlarni bajarib, natijalar haqida hisobot berishini anglatadi. Na fikr, na ishonch. Xulosalarni mijozning o'zi chiqaradi.
Agar sizga arzon "audit" taklif qilishsa, aynan nimani sotib olayotganingizni aniqlang.
Audit qachon majburiy, qachon esa tanlov?
Majburiy audit
"Auditorlik faoliyati to'g'risida"gi Qonunning 35-moddasi yillik moliyaviy hisoboti majburiy auditdan o'tkazilishi lozim bo'lgan tashkilotlar toifalarini belgilaydi. Ro'yxat uchta g'oyaga asoslangan va bu g'oyalarni tushunsangiz, ro'yxatni odatda oldindan aytib bera olasiz:
- Boshqalarning pulini tasarruf etadigan tashkilotlar. Banklar, sug'urtachilar, investitsiya fondlari, birjalar. Omonatchilar va sug'urtalanuvchilarda bu tashkilotlarni o'zlari nazorat qilishning amaliy imkoni yo'q, ularning inqirozi oqibatlari esa qaror qabul qilishda ishtirok etmagan minglab odamlar zimmasiga tushadi.
- Mulki tarqoq yoki ommaviy bo'lgan tashkilotlar. Aksiyadorlik jamiyatlari, qimmatli qog'ozlar emitentlari. Sof holdagi klassik agentlik muammosi: mulkdorlar ko'p va ulardan hech biri ofisga kirib, hisob registrlariga qaray olmaydi.
- Inqirozi boshqalarga ta'sir qiladigan darajada yirik tashkilotlar. Belgilangan chegaralardan yuqori kompaniyalar, davlat ishtirokidagi tashkilotlar. Ularning yetkazib beruvchilari, xodimlari, kreditorlari va soliq organlari o'zlari tanlamagan xavfni o'z zimmasiga oladi.
To'liq holda 35-modda yillik auditni quyidagilar uchun majburiy qiladi:
- Barcha aksiyadorlik jamiyatlari
- Banklar va boshqa kredit tashkilotlari
- Sug'urta tashkilotlari
- Birjalar
- Yuridik va jismoniy shaxslarning mablag'larini jamlaydigan investitsiya va boshqa fondlar
- Qishloq xo'jaligi kooperativlari
- Davlat unitar korxonalari va ustav fondida (kapitalida) qonunda belgilangan miqdorda davlat ulushi bo'lgan yuridik shaxslar
- Yuridik va jismoniy shaxslar to'laydigan ajratmalar hisobidan tashkil etiladigan fondlar
Boshqa har qanday tijorat tashkiloti ham, agar yil yakunlari bo'yicha quyidagi uchta mezondan istalgan ikkitasiga mos kelsa, auditdan o'tishi shart:
- Aktivlarning balans qiymati 100 000 BHM (bazaviy hisoblash miqdori) dan oshadi
- Mahsulot (tovar, ish, xizmat) sotishdan tushgan tushum 200 000 BHM dan oshadi
- Xodimlarning o'rtacha soni 100 nafardan oshadi
2026-yil 1-sentabrdan amaldagi bazaviy hisoblash miqdorida (440 000 so'm) bu 44 milliard so'mdan ortiq aktivlar va 88 milliard so'mdan ortiq tushumni anglatadi. BHM muntazam qayta ko'rib chiqiladi, shuning uchun bu raqamlarga tayanishdan oldin uning joriy qiymatini tekshiring.
Majburiy auditdan o'tishi lozim bo'lgan tashkilotlar auditorlik xulosasining nusxasini audit tugaganidan keyin 15 kun ichida va har qanday holatda ham hisobot yilidan keyingi yilning 15-iyunidan kechiktirmay soliq organlariga taqdim etishi kerak.
MSFO va kengayib borayotgan doira
Ikki hujjat MSFO bo'yicha hisobot tuzadigan o'zbek tashkilotlari doirasini — demak, milliy standartlar bo'yicha emas, MSFO bo'yicha audit kerak bo'lganlar doirasini ham — izchil kengaytirib keldi.
Prezidentning 2020-yil 24-fevraldagi PQ-4611-son qarori aksiyadorlik jamiyatlari, tijorat banklari, sug'urta tashkilotlari va yirik soliq to'lovchilarni 2021-yil 1-yanvardan buxgalteriya hisobini MSFO bo'yicha yuritishga va 2021-yil hisobotidan boshlab MSFO bo'yicha hisobot tuzishga majbur qildi. MSFOga ixtiyoriy ravishda o'tgan tashkilotlar milliy standartlar bo'yicha hisobot taqdim etishdan ozod qilinadi.
Prezidentning 2025-yil 15-sentabrdagi PQ-282-son qarori jamoat manfaatlariga daxldor tashkilot (PIE) huquqiy maqomini va Iqtisodiyot va moliya vazirligi yuritadigan ommaviy reestrni joriy etdi. 2026-yilda e'lon qilingan birinchi reestrga 425 ta tashkilot kiritildi: aksiyalari birjada muomalada bo'lgan kompaniyalar, banklar va boshqa moliya tashkilotlari, investitsiya fondlari va birjalar, davlat ishtirokidagi yirik korxonalar hamda aktivlar, tushum va xodimlar soni mezonlariga javob beradigan yirik xususiy kompaniyalar. Reestrdagi tashkilotlar 2027-yil 1-yanvardan buxgalteriya hisobini MSFO bo'yicha yuritishi va MSFO bo'yicha hisobotni mustaqil auditorlik xulosasi bilan birga 2028 moliya yili yakunigacha e'lon qilishi shart. Reestr har yili yangilanadi.
Harakat yo'nalishi aniq. "Siz xalqaro standartlar bo'yicha auditdan o'tishingiz shart" chegarasi olti yildan beri pasayib kelmoqda va pasayishda davom etmoqda.
Ixtiyoriy audit
Qolgan hamma tanlashi mumkin. Amalda kompaniyalar auditni to'rt sababdan biri tufayli tanlaydi va buyurtma berishdan oldin qaysi biri sizga tegishli ekanini aniq bilish kerak:
Pul jalb qilish uchun. Bankning kredit qo'mitasi, investor yoki taraqqiyotni moliyalashtirish instituti auditdan o'tmagan raqamlarni kuchli diskontlaydi yoki ularni ko'rib chiqishdan bosh tortadi. Bu yerda audit rasmiyatchilik emas — u kapital narxini o'zgartiradi.
Sotish yoki hamkor jalb qilish uchun. Oldingi ikki-uch yil uchun auditdan o'tgan hisobot due diligence'ni qisqartiradi, xaridor talab qiladigan kafolatlar doirasini toraytiradi va uning muzokaralardagi eng kuchli dalilini — raqamlaringiz tekshirilmaganini — yo'qqa chiqaradi.
Mulkdorlar o'rtasidagi muammoni hal qilish uchun. Ba'zi aksiyadorlar biznesni boshqarsa, boshqalari boshqarmasa, mustaqil audit ishonch haqidagi bahsni fakt masalasiga aylantiradi. Bu oshxona stoli darajasidagi agentlik muammosi va audit — mavjud eng arzon javob.
Bilib olish uchun. Ba'zi asoschilar shunchaki buxgalteri aytayotgan narsa to'g'rimi yoki yo'qligini bilishni xohlaydi — bank, xaridor yoki soliq organi bunday emasligini aytishidan oldin.
Xulosani aslida kim o'qiydi
Auditorlik xulosasining o'zida qiymat yo'q. U qimmatli, chunki aniq odamlar uni o'qib, aniq qarorlarini o'zgartiradi.
Biznesni boshqarmaydigan aksiyadorlar. Dastlabki auditoriya va hozir ham mazmunning o'zagi. Audit — binoda bo'lmagan mulkdorning puli bilan nima bo'lgani haqida asosli tasavvur hosil qilish usuli.
Banklar va kreditorlar. Kredit qo'mitasi auditdan o'tgan hisobotdan kredit hajmi, stavka va kovenantlarni belgilash uchun foydalanadi. Auditdan o'tgan raqamlar kredit berilgandan keyin ham muhim: MSFO (IFRS) 9 bo'yicha banklar kredit portfeli bo'yicha kutilayotgan kredit zararlarini baholaydi va qarz oluvchi moliyaviy ma'lumotlarining sifati bu bahoga bevosita ta'sir qiladi. Hisoboti auditdan o'tmagan qarz oluvchi bank uchun qimmatroq aktiv. Bu narx qarz oluvchiga yuqoriroq stavka, ko'proq ta'minot yoki rad javobi shaklida qaytadi.
Investorlar va xaridorlar. Bitimda auditdan o'tgan va o'tmagan hisobot o'rtasidagi farqni sotuvchi to'laydi — pastroq narx, kattaroq eskrou summasi yoki kengroq kafolatlar va kompensatsiyalar orqali.
Soliq organi. O'zining tekshirish vakolatlari o'rnini bosuvchi sifatida emas, balki xavf signali sifatida. Mustaqil auditorning toza fikri bilan birga taqdim etilgan va topshirilgan soliq deklaratsiyalariga mos keladigan hisobot xatarlarni tahlil qilish tizimida bunday bo'lmagan hisobotdan boshqacha ko'rinadi.
Kontragentlar. 90 kunlik muddatli to'lov berish-bermaslikni hal qilayotgan yetkazib beruvchi yoki katta oldindan to'lov qilish-qilmaslikni hal qilayotgan xaridor bankdan ko'p bo'lmagan ma'lumot bilan kredit qarorini qabul qiladi.
Xodimlar va jamoatchilik. Yirik ish beruvchi uchun moliyaviy hisobot tashkilot o'z majburiyatlarini bajara oladimi degan savolga yagona ommaviy javob. Bank yoki sug'urtachi uchun "jamoatchilik" — omonati yoki polisi bor har bir kishi.
Umumiy xususiyatga e'tibor bering: har bir holatda o'quvchi — hisob ma'lumotlariga o'zi qaray olmaydigan kishi. Audit yo'q bo'lganlarga xizmat qilish uchun mavjud. Agar ma'lumot kerak bo'lgan har bir kishi shunchaki kelib tekshira olsa, auditorlik kasbi bo'lmasdi.
Nega AQShda audit shunchalik ulkan institut
O'quvchilar ko'pincha Amerikada audit bizdagidan ko'ra muhimroq ekanini his qiladi — va ular haq. Sababi tuzilmaviy va uni tushunsangiz, O'zbekiston qayerga borayotganini tushunasiz.
AQShda kompaniyalar oddiy xonadonlarga tegishli. Ko'pincha bevosita emas, balki pensiya fondlari, 401(k) pensiya rejalari, investitsiya va indeks fondlari orqali. Ogayodagi maktab o'qituvchisi hech qachon bormaydigan, hech qachon uchratmaydigan odamlar boshqaradigan, o'zi hech narsa bilmaydigan sohalardagi bir necha ming kompaniyaning hammulkdori.
Bu — mamlakat miqyosidagi agentlik muammosi. O'sha o'qituvchini hech narsa bila olmaslikdan ajratib turadigan yagona narsa — hisobot qilinadigan moliyaviy ma'lumotlar zanjiri va uning oxiridagi auditor imzosi.
Bu institut tarixi — falokatlar va ulardan keyin keladigan qonunlar ketma-ketligi.
1929-yil va undan keyin. Birja inqirozi va Buyuk depressiya investorlarga qanchalik kam ishonchli ma'lumot berilganini fosh qildi. Kongress 1933-yilgi Qimmatli qog'ozlar to'g'risidagi qonun va 1934-yilgi Fond birjalari to'g'risidagi qonun bilan javob berdi: ular Qimmatli qog'ozlar va birjalar komissiyasini (SEC) tashkil etdi va ommaga qimmatli qog'ozlar sotadigan kompaniyalarni mustaqil buxgalter tomonidan tekshirilgan moliyaviy hisobot taqdim etishga majbur qildi. Amerikadagi zamonaviy auditorlik kasbi asosan shu ikki qonun mahsuli.
2001–2002-yillar. AQShning eng yirik kompaniyalaridan biri bo'lgan Enron uning hisobot foydasi qarzni balansdan tashqariga chiqaradigan sxemalarga asoslangani ma'lum bo'lgach qulab tushdi. Uning auditori Arthur Andersen — o'n minglab xodimlari bo'lgan dunyoning beshta eng yirik firmasidan biri — u bilan birga yo'q bo'lib ketdi. Ortidan WorldCom qulab tushdi. Zarar faqat shu kompaniyalar aksiyadorlariga emas, balki bozordagi auditdan o'tgan har bir moliyaviy hisobotga bo'lgan ishonchga ham yetdi.
Qonunchilik javobi 2002-yilgi Sarbeyns–Oksli qonuni bo'ldi va u hozirgacha kasb tarixidagi eng muhim aralashuv bo'lib qolmoqda. U kasbni o'zini o'zi nazorat qilishga qoldirish o'rniga auditorlik firmalarini tekshirish uchun PCAOBni tashkil etdi. Bosh direktorlar va moliyaviy direktorlarni moliyaviy hisobotni shaxsan tasdiqlashga majbur qildi. Uning mashhur 404-bo'limi rahbariyatni moliyaviy hisobot ustidan ichki nazorat samaradorligini baholashga, auditorni esa bu haqda hisobot berishga majbur qildi. U auditorlik firmalariga o'zlari tekshiradigan kompaniyalarga ko'plab konsalting xizmatlarini ko'rsatishni taqiqladi — boshqa ish uchun mijozdan katta haq oladigan auditor bu mijozdan haqiqiy ma'noda mustaqil emasligini tan olgan holda.
Amerikaliklar ulkan narx evaziga olgan saboq — o'zlashtirishga arziydigan saboq:
Auditning qiymati butunlay auditorning mustaqilligida. Auditor natijadan manfaatdor bo'lgan zahoti imzo ma'lumot berishni to'xtatadi — va tashqaridan hech kim qaysi imzolar hali ham biror narsani anglatishini aniqlay olmagani uchun, ishonch ularning barchasiga birdaniga pasayadi.
Nega bu bizda ham dolzarb bo'lib bormoqda. O'zbekiston kapital bozori yosh, lekin endi nazariy emas. Toshkent birjasida aksiyalar savdosi bo'lyapti. Davlat korxonalari xususiylashtirilmoqda. Korporativ obligatsiyalar chiqarilmoqda. Xalqaro kreditorlar va taraqqiyotni moliyalashtirish institutlari bu yerda keng miqyosda ishlaydi. To'g'ridan-to'g'ri xorijiy investitsiyalar kelishda davom etmoqda. Bularning har biri o'zi tekshira olmaydigan biznesda moliyaviy manfaati bor yangi odamlar guruhini — demak, ishonchli moliyaviy ma'lumotga yangi talabni ham — yaratadi.
PIE reestri, majburiy MSFO, auditorlik xulosalari bilan birga e'lon qilinadigan hisobotlar — bu mulkchilik va nazorat keng miqyosda ajralganda zarur bo'ladigan institutsional arxitektura. AQSh uni 1933-yildan 2002-yilgacha, asosan falokatlarga javoban qurgan. O'zbekiston uni hozir quryapti — bu hikoya qanday tugashini bilish afzalligi bilan.
Auditorlik xulosasini qanday o'qish kerak
Agar qachondir sizga uni topshirishsa, uni shunday o'qing.
Fikr bayon qilingan birinchi bo'limning oxiridan boshlang. To'rtta variant bor va ular bir rangning tuslari emas — ular mohiyatan turlicha bayonotlar.
O'zgartirilmagan ("toza") fikr. Hisobot barcha muhim jihatlarda ko'rsatilgan konsepsiyaga muvofiq haqqoniy.
Shartli fikr. Ko'rsatilgan masala "bundan mustasno" hisobot haqqoniy. Nimadir noto'g'ri yoki nimanidir tekshirib bo'lmadi va bu muhim — lekin muammo cheklangan va hisobotning qolgan qismiga tayanish mumkin. "Fikr uchun asos" bo'limini diqqat bilan o'qing: unda muammo aniq aytilgan.
Salbiy fikr. Hisobot haqqoniy emas. Muammolar muhim va keng qamrovli. Bu jiddiy bayonot va u kam uchraydi.
Fikr bildirishdan bosh tortish. Auditor biror fikr shakllantirish uchun yetarli dalil ololmadi, mumkin bo'lgan ta'sir esa muhim va keng qamrovli. Amalda bu odatda hujjatlar yo'qligini yoki kirish to'sib qo'yilganini anglatadi. Ko'pchilik o'quvchilar uchun fikr bildirishdan bosh tortish shartli fikrdan yomonroq yangilik, chunki bu hech kim bilmasligini anglatadi.
Keyin fikr atrofidagilarni o'qing.
"Muhim holatlar" bo'limi hisobotda tegishli tarzda ochib berilgan va auditor uni tushunish uchun tubdan muhim deb hisoblaydigan narsaga e'tibor qaratadi. U fikrni o'zgartirmaydi — lekin u o'sha yerda, chunki auditor siz buni o'tkazib yubormasligingizga ishonch hosil qilishni xohlagan.
Faoliyat uzluksizligi bilan bog'liq muhim noaniqlik auditor tashkilotning faoliyatini davom ettirish qobiliyatiga jiddiy shubha tug'dirishi mumkin bo'lgan voqealar yoki sharoitlar mavjud degan xulosaga kelganini anglatadi. Boshqa hech narsani o'qimasangiz ham — buni o'qing.
Auditning asosiy masalalari (XAS 701, aksiyalari birjada muomalada bo'lgan kompaniyalar uchun va boshqa nazarda tutilgan hollarda ochib beriladi) auditordan eng ko'p e'tibor talab qilgan masalalarni bayon qiladi. Bu mulohazalar va xatarlar aslida qayerda bo'lganining xaritasiga eng yaqin narsa.
Va tushunish uchun eng muhim nuqta:
Toza fikr — bu biznes haqida emas, moliyaviy hisobot haqidagi bayonot. U hisobning to'g'ri ekanini anglatadi. U hisobdagi yangiliklar yaxshi ekanini anglatmaydi.
Cheklovlar — ochiq aytganda
O'zini ortiqcha maqtaydigan kasb keyin o'zi nolib yuradigan kutishlar bo'shlig'ini o'zi yaratadi. Shuning uchun ochiq aytamiz:
Tanlov ba'zi operatsiyalar hech qachon tekshirilmasligini anglatadi. Bu muqarrar. Javob — yoppasiga tekshirish emas, xatarlarga asoslangan tanlov.
Muhimlik kichik xatolarga yo'l qo'yilishini anglatadi. Muhimlik chegarasidan past buzilish auditorga ma'lum bo'lishi va tuzatilmay qolishi mumkin, chunki u hech bir oqilona foydalanuvchining qarorini o'zgartirmaydi.
Til biriktirish nazoratni yengadi. Audit protseduralari asosan ichki nazorat va hujjatli dalillarga tayanadi. Bir necha kishi birgalikda soxta hujjatlar tayyorlasa, buni aniqlash ancha qiyinlashadi.
Rahbariyatning nazoratni chetlab o'tishi — kasbdagi eng qiyin xavf. Yuqori rahbariyat ta'rifiga ko'ra odatiy tartibdan chetga chiqishni buyurishi mumkin. Aynan shuning uchun XAS 240 buni har bir auditda taxmin qilinadigan xavf deb hisoblaydi.
Hisob mulohaza talab qiladi va mulohazaning diapazoni bor. Debitorlik qarzi undiriladimi, aktiv qadrsizlanganmi, uskuna qancha xizmat qiladi — bularning barchasi baholar. Auditor rahbariyat bahosi oqilona va tegishli tarzda ochib berilganini tekshiradi, uning yagona to'g'ri raqam ekanini emas — chunki bunday raqam yo'q.
Va tuzilmaviy tahdid: auditorga tekshirilayotgan kompaniya to'laydi. Bu butun dunyoda tan olingan institut tuzilishidagi zaiflik va aynan shuning uchun mustaqillik talablari, rotatsiya qoidalari, ayrim auditorlik bo'lmagan xizmatlarga taqiqlar, litsenziyalash va tashqi sifat nazorati mavjud. Bu byurokratiya emas. Bu imzoning ma'nosini saqlaydigan mexanizm va tarixdagi har bir yirik audit muvaffaqiyatsizligi uning zaiflashuvi bilan bog'liq bo'lgan.
Sizga audit kerakmi?
Qaror qabul qilish uchun qisqa qo'llanma.
Audit siz uchun qonun bo'yicha majburiy, agar tashkilotingiz "Auditorlik faoliyati to'g'risida"gi Qonunning 35-moddasiga yoki yuqorida tasvirlangan MSFO va PIE rejimlariga tushsa. Buni birinchi navbatda tekshiring: bu yerda javob sizning xohishingizga bog'liq emas.
Audit haqida jiddiy o'ylab ko'rish kerak, agar quyidagilardan kamida bittasi to'g'ri bo'lsa:
- Keyingi 12–24 oy ichida bank moliyalashtiruvi yoki investitsiya jalb qilishni rejalashtiryapsiz
- Boshqaruvda ishtirok etmaydigan aksiyadorlaringiz bor
- Biznesni sotishga yoki yangi hamkorni qabul qilishga tayyorlanyapsiz
- Siz o'zi majburiy MSFO auditidan o'tadigan tashkilotning sho'ba korxonasi, qo'shma korxonasi yoki yirik yetkazib beruvchisisiz — uning majburiyatlari sizga ham yetib keladi
- Biznesingiz qonunchilikda belgilangan chegaralarga yaqinlashmoqda
- Hisobingiz to'g'ri ekaniga mustaqil tasdiq yo'q, xato oqibatlari esa katta
Ehtimol, sizga hozircha audit kerak emas, agar siz mulkdorning o'zi boshqaradigan kichik kompaniya bo'lsangiz, kredit olmasangiz, kapital jalb qilmasangiz va belgilangan chegaralarga yaqinlashmayotgan bo'lsangiz. Bu bosqichda sizga aniq buxgalteriya hisobi va to'g'ri soliq hisobotlari kerak. Ishonchsiz yozuvlar auditi — yozuvlaringiz ishonchsiz ekanini bilib olishning qimmat usuli: avval hisobni tartibga keltiring.
Qisqa lug'at
| Atama | Ma'nosi |
|---|---|
| Agentlik muammosi | Bir kishi boshqasi uchun qaror qabul qilganda, ikkinchisi uning harakatlarini to'liq kuzata olmasa yuzaga keladigan ziddiyat |
| Ishonch | Mutaxassis bildiradigan ishonch darajasi. Audit oqilona ishonch beradi, sharhlovchi tekshiruv — cheklangan ishonch |
| Moliyaviy hisobot | Rasmiy hisobotlar to'plami: moliyaviy holat, foyda yoki zarar, kapitaldagi o'zgarishlar, pul oqimlari va izohlar |
| Faoliyat uzluksizligi | Tashkilot yaqin kelajakda faoliyatini davom ettiradi degan taxmin. Agar u bajarilmasa, aktivlar boshqacha baholanishi kerak |
| MSFO | Moliyaviy hisobotning xalqaro standartlari — moliyaviy hisobot tayyorlashning global konsepsiyasi |
| XAS | Xalqaro audit standartlari — audit o'tkazish qoidalari |
| Muhimlik | Undan yuqori buzilish foydalanuvchi qarorlariga asosli ravishda ta'sir qilishi mumkin bo'lgan chegara |
| Fikr | Auditorning rasmiy xulosasi: o'zgartirilmagan, shartli, salbiy yoki fikr bildirishdan bosh tortish |
| PIE | Jamoat manfaatlariga daxldor tashkilot — O'zbekistonda hisobot va auditga oid yuqori talablar qo'yiladigan huquqiy maqom |
| Majburiy audit | Ixtiyoriy buyurtma qilingan auditdan farqli o'laroq, qonun talab qiladigan audit |
Butun maqola bitta xatboshida
Biznesni unda nima bo'layotganini biladigan odamlar boshqaradi, uni moliyalashtiradigan, ta'minlaydigan, kreditlaydigan, soliqqa tortadigan va ba'zi hollarda unga egalik qiladigan odamlar esa buni bilmaydi. Bu bo'shliq kimningdir xarakteridagi nuqson emas; bu zamonaviy tijoratning tuzilishi. Agar u yopilmasa, kapital qimmatlashadi, bitimlar sekinlashadi, ishonch esa imkonsiz bo'ladi. Audit bu bo'shliqni yopadi: tomonlar o'rtasiga ularning hech biri uchun ishlamaydigan, belgilangan professional standartni qo'llaydigan va javob bera oladigan xulosasiga imzo chekadigan odamni qo'yadi. Imzo rasmiyatchilik ham, kafolat ham emas. Bu kompaniyaning o'zi haqidagi hikoyasini begona odam tayanishi mumkin bo'lgan narsaga aylantiradigan mexanizm.
Kompaniyangizga audit kerakmi, ishonchingiz komil emasmi?
Biznesingiz haqida aytib bering — biz audit majburiymi, uni hozir o'tkazishga arziydimi yoki hozircha kerak emasmi, ochiq aytamiz. Hech qanday majburiyatsiz.
